Who we are
Botting Legal Limited is a small law firm specialising in commercial law. We have a central city office but love an excuse to get out and meet our clients all around Auckland. We deliberately use technology and run a small, lean organisational structure so we can keep our costs and our fees down without compromising on the quality of advice.
Our director is Bradley Botting. Brad has a long history of working in, and with, small and medium sized business and understands the challenges and obstacles involved in starting and operating a successful business.
“Franchising can be a great way to reduce business risk by taking advantage of a tried and tested business system, but only if it’s done right.”
What we do
Our aim is to give you practical legal advice together with an out-standing and cost effective level of service.
We have experience in the following commercial areas:
-
Full life cycle advice for franchisees (on entry, exit and everything in between)
-
Advising franchisors on documentation, disputes and franchisee sales and purchases
-
The acquisition and sale of businesses (both franchised and non-franchised) and advice on business structures
-
Commercial leasing (acting for both landlords and tenants)
-
Shareholder and joint venture agreements
-
Protection and licensing of intellectual property
-
Financing
-
Information and communications technology agreements
-
Regulatory compliance (including Companies Act, Commerce Act, Fair Trading Act, Securities Act)
-
Adapting Australian franchise and business documentation for use in New Zealand.
We also have experience in not-for-profit work, trust establishment and administration and commercial and residential conveyancing.
How we can help you
Advice for Franchisees
We provide specialist and objective advice for franchisees on purchase, sale and everything in between.
For new franchisees, we offer fixed prices for independent legal advice on franchise and lease documentation. Prices range from $800 to $1,400 plus GST.
Our fixed price advice for new franchisees includes a comprehensive written report on the franchise agreement, disclosure and (if required) lease documentation and a one-on-one meeting or conference call with you to discuss and address any questions or concerns. Our report will explain the key provisions of the documents to you in plain English, identify any potential ‘fishhooks’ or areas of concern and anything that is missing.
We can also assist with negotiating amendments to franchise and lease documentation, advising on appropriate business structures, shareholder agreements and documenting bank finance.
Franchisors who are members of the Franchise Association will require you to obtain independent legal advice on the franchise documentation. Even if it’s not a requirement of your chosen franchise system it still makes good commercial sense to get quality legal advice before you ‘sign up’. You need to be sure you understand the full implications before investing your money and the next few years of your life.
Some of the franchise and license systems we have advised on recently include: Coffee and Food Retail, Residential Building, Electrical, Home Services and Cleaning, Automotive Services and Petrol Retailing.

Client references
Don’t just take our view, here’s what some of our clients say about us:
It’s not the expensive or cheap lawyers that offer the best choice, but those that give you the best bang for your buck. Brad offers value for money. Brad has been able to meet on-site where necessary and it tells me he is genuinely interested in what I do.
Craig Wallace, Director - Smart Numbers Limited
